3.1 Base Ocean Freight Rate

With effect from 1 January 2026 1 May 2026, the base ocean freight rate for standard 20-foot dry containers (20'DC) on the Rotterdam–Shenzhen Yantian corridor shall be USD 1,850 USD 2,200 per TEU. For 40-foot high-cube containers (40'HC), the applicable rate shall be USD 2,950 USD 3,400 per FEU. All rates are subject to the surcharges in clause 3.2 and are exclusive of origin and destination handling charges.

3.2 Bunker Adjustment Factor (BAF)

The Bunker Adjustment Factor shall be calculated as 8.5% 11.0% of the base ocean freight rate per clause 3.1 and shall be reviewed quarterly monthly by reference to the VLSFO benchmark published by S&P Global Commodity Insights. Notice of any BAF revision shall be given in writing fourteen (14) twenty-one (21) days before the revised rate takes effect.

5.3 Limitation of Liability

Carrier's total aggregate liability for loss, damage, or delay to cargo under this Agreement shall not exceed USD 500,000 USD 750,000 per incident or occurrence, regardless of the number of containers affected. This cap applies in addition to, and does not limit, the per-package limitations under the Hague-Visby Rules where applicable. Claims must be notified in writing within thirty (30) days of delivery or scheduled delivery date, whichever is earlier.

8. Force Majeure

This clause is inserted by Amendment No. 3. Neither party shall be liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to port strikes, canal blockages, government-imposed trade sanctions, pandemic-related restrictions, or acts of war. The affected party shall notify the other within forty-eight (48) hours of the event arising and shall use commercially reasonable efforts to mitigate delay. If a force majeure event continues for more than sixty (60) days, either party may terminate the affected shipment order without penalty.
