Preamble

WHEREAS, the parties wish to explore a potential commercial relationship (the “Purpose”);

WHEREAS, in connection with the Purpose, the Disclosing Party may disclose certain Confidential Information to the Receiving Party;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Article 1 — Definitions

1.1 “Confidential Information” means any and all non-public information disclosed by the Disclosing Party, whether orally, in writing, or by any other means, that is designated as confidential or that reasonably should be understood to be confidential.

1.2 “Term” means the period commencing on the Effective Date and continuing for sixty (60) months thereafter, unless terminated earlier in accordance with Article 4.

Article 2 — Obligations of the Receiving Party

The Receiving Party shall:

(a) hold the Confidential Information in strict confidence;

(b) not disclose the Confidential Information to any third party without the prior written consent of the Disclosing Party;

(c) use the Confidential Information solely for the Purpose.

Article 3 — Exceptions to Confidentiality

The obligations in Article 2 shall not apply to information that the Receiving Party can demonstrate:

(a) was in its lawful possession prior to disclosure and not subject to any confidentiality obligation;

(b) is or becomes publicly available through no breach of this Agreement by the Receiving Party;

(c) is independently developed by the Receiving Party without use of or reference to the Confidential Information; or

(d) is required to be disclosed by law, regulation, or order of a court of competent jurisdiction, provided that the Receiving Party gives the Disclosing Party prompt notice where legally permitted.

Schedule A (Permitted Recipients) and Schedule B (Acceptable Use) are incorporated by reference and form part of this Agreement.

Préambule

Article 1 — Définitions

On March 5, 2026, I met with Jennifer Park, General Counsel of Apex Industries, at their offices located at 1200 Market Street, Suite 400, San Francisco, CA 94102. The purpose of the meeting was to discuss Apex's preliminary disclosure obligations and our anticipated discovery requests in the underlying matter.

1. Financial exposure. Per Ms. Park's representations, the board of Apex was notified of the underlying matter on February 14, 2026 by CFO David Morrison. The company carries $25,000,000 in D&O coverage through Zurich North America, subject to a standard professional-services exclusion.

2. Settlement posture. Internally, Apex has proposed a settlement range of $1,200,000 to $1,450,000. We have previously advised our client that the appropriate range, based on precedent and expected verdict value, is $1,800,000 to $2,100,000.

3. Next steps. Ms. Park indicated that she would circulate a non-privileged chronology to our team by March 18, 2026. I will follow up via j.park@apex-industries.com or +1 (415) 555-0192 by end of business March 12. Please let me know if you would like to discuss before our call with the client on March 15, 2026.

Amendment No. 2
Master Services Agreement
between Meridian Technologies S.A. (Client) and Kensington & Wyatt LLP (Counsel) · Dated March 12, 2026
§

This Amendment No. 2 (the Amendment) modifies the Master Services Agreement dated September 15, 2024 (as previously amended, the Agreement). Except as expressly amended herein, the Agreement remains in full force and effect. Capitalised terms used but not defined in this Amendment shall have the meanings ascribed to them in the Agreement.

Section 3.2 — Compensation

Client shall pay Counsel fees at the hourly rates set forth in Exhibit A, not to exceed an aggregate cap of five hundred thousand dollars ($500,000) per calendar year not to exceed an aggregate cap of one million dollars ($1,000,000) per calendar year, excluding expenses reimbursable pursuant to Section 3.4. Invoices shall be rendered monthly and are due within thirty (30) days forty-five (45) days of receipt.

Section 5.1 — Term and Termination

The initial Term shall be two (2) years three (3) years commencing on the Effective Date, and shall automatically renew for successive one (1) year periods unless either party provides written notice of non-renewal at least ninety (90) days prior to the then-current expiration date. Either party may terminate the Agreement for convenience upon sixty (60) one hundred eighty (180) days' written notice to the other party.

Section 7.3 — Limitation of Liability

Counsel's total aggregate liability under or in connection with this Agreement shall not exceed the aggregate fees paid by Client during the twelve (12) months immediately preceding the claim the greater of (i) the aggregate fees paid by Client during the twenty-four (24) months immediately preceding the claim, or (ii) three million dollars ($3,000,000). The foregoing cap shall not apply to liabilities arising from fraud, gross negligence, or wilful misconduct, nor to Counsel's indemnification obligations under Section 8.

Section 9.4 — Conflicts of Interest

Counsel shall promptly disclose any actual or potential conflicts of interest that arise during the engagement, in accordance with the SRA Code of Conduct. Where a conflict is identified, the parties shall cooperate in good faith to implement an ethical screen or, where appropriate, to reassign the matter to conflict-cleared counsel. Counsel shall bear its own costs of conflict checking and shall not bill the Client for time spent resolving conflicts within the firm.

Section 12.1 — Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States of America England and Wales, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of the State of New York the courts of England and Wales for the resolution of any dispute arising out of or in connection with this Agreement.

Amendment No. 2 reflects negotiated changes following the March 2026 client review. Sections not referenced herein remain as set forth in the Agreement and Amendment No. 1.
