This Amendment No. 2 supersedes and amends the Streaming Rights Agreement dated 1 March 2025 (the Agreement) and Amendment No. 1 dated 1 September 2025 in respect of the matters set out below. All other terms of the Agreement not expressly modified herein remain in full force and effect. Changes reflect negotiations concluded on 14 April 2026 and are subject to execution by both parties.
The Licensed Territory under this Agreement is hereby expanded from Sweden, Norway, Denmark and Finland (the Nordic Region) to Sweden, Norway, Denmark, Finland, Estonia, Latvia and Lithuania (the Nordic-Baltic Region). Licensee shall have the right to exploit the Licensed Content across all territories within the Licensed Territory via its streaming platform and any successor or affiliated services operated by NordStream Media AB, subject to the content classification restrictions set out in clause 3.4 and any applicable national broadcasting regulations in Estonia, Latvia and Lithuania. Licensee shall obtain all necessary regulatory clearances for the Baltic territories at its own cost and shall provide Licensor with written confirmation of such clearances within sixty (60) days of execution of this Amendment.
In consideration of the rights granted and expanded under this Amendment, the total licence fee payable by Licensee to Licensor is revised from EUR 420,000 to EUR 575,000. The additional EUR 155,000 reflects the expanded Licensed Territory in clause 2.1, the addition of two further episodes in clause 4.1, and the sub-licensing rights granted in clause 6.1. Payment shall be made in two equal instalments of EUR 287,500: the first on execution of this Amendment and the second sixty (60) forty-five (45) days following delivery of the final episode. Day-and-date releases in the Baltic territories shall not attract any additional fee under this Amendment.
The Licensed Content shall comprise Season 1 of THE MERIDIAN FILE series, consisting of eight (8) episodes ten (10) episodes, each of approximately forty-five (45) minutes duration. Episodes 9 and 10, greenlit on 14 February 2026, shall be delivered to Licensee no later than 31 August 2026 in accordance with the technical delivery specifications set out in Schedule B, including localised subtitle tracks in Estonian, Latvian, and Lithuanian. Licensor warrants that all ten episodes shall be fully cleared for exploitation across the Licensed Territory and that no third-party clearance is outstanding as of the date of execution of this Amendment.
The exclusivity window during which Licensor shall not grant any competing streaming rights in the Licensed Territory to any third party is extended from eighteen (18) months to twenty-four (24) months from the date of first episode availability on Licensee's platform. The extension applies across both the original Nordic territories and the newly added Baltic territories. Following expiry of the exclusivity window, Licensee shall retain non-exclusive rights for the remainder of the licence term as set out in clause 2.3 of the original Agreement; Licensor may offer non-exclusive rights in the Licensed Territory to third parties from month nineteen (19) onwards Licensor may not offer competing streaming rights in the Licensed Territory until month twenty-five (25) following first availability.
Licensee shall not sub-licence the Licensed Content to any third party without the prior written consent of Licensor, such consent not to be unreasonably withheld or delayed. Licensee may sub-licence the Licensed Content to Viaplay Group AB and any other streaming platform in which Licensee holds a minimum twenty-five percent (25%) equity interest, without the prior written consent of Licensor, provided that: (i) the sub-licence term does not extend beyond the remaining term of this Agreement; (ii) Licensee remains jointly and severally liable for all obligations of any sub-licensee under the terms hereof; and (iii) Licensor is notified in writing within five (5) business days of execution of any sub-licence, with a copy of the executed sub-licence agreement redacted only for commercially sensitive pricing terms. All sub-licensing to unaffiliated third parties shall continue to require Licensor's prior written consent, not to be unreasonably withheld unreasonably withheld, conditioned, or delayed beyond fifteen (15) business days of receipt of a written sub-licensing request.
All other terms of the Agreement and Amendment No. 1, including governing law, dispute-resolution provisions, IP-ownership clauses, content warranty obligations, and insurance requirements, remain in full force without modification.
