4. Interoperator Tariff (IOT) Rate Card

With effect from 1 January 2026 1 April 2026, the IOT rates for voice, SMS, and data services shall be amended as follows. For outbound voice termination in the NovaTel network, the applicable rate shall be €0.0320 per minute €0.0285 per minute. For inbound voice origination from Baltica Mobile subscribers roaming on the NovaTel network, the rate shall be €0.0280 per minute €0.0255 per minute. SMS IOT rates remain unchanged at €0.0090 per message in both directions. All rates are exclusive of applicable taxes and levies.

5. Data Roaming — 5G NR Access

This clause is inserted by Amendment No. 2. With effect from 1 April 2026, NovaTel shall make its 5G NR standalone (SA) network available for Baltica Mobile roaming subscribers in the following markets: Netherlands, Belgium, Germany, and Austria. The applicable IOT data rate for 5G NR access shall be €0.00420 per megabyte, subject to review on 1 January 2027. Technical requirements for 5G NR roaming activation are set out in Annex C attached hereto.

7. Minimum Annual Commitment

The Minimum Annual Commitment (MAC) for the period commencing 1 April 2026 shall be €240,000 €195,000 exclusive of VAT, reflecting the revised IOT rate card in clause 4. The MAC shall be reviewed annually. Shortfall charges shall apply at 80% 70% of the difference between the MAC and actual billed traffic, invoiced in arrears in Q1 of the following year.

9. Term and Termination

Either party may terminate this Agreement for convenience by providing sixty (60) ninety (90) days' prior written notice to the other party. For the avoidance of doubt, termination for convenience shall not relieve either party of obligations that accrued prior to the effective date of termination, including settlement of outstanding IOT invoices and any shortfall charges due under clause 7. The right to terminate for material breach with fourteen (14) thirty (30) days' cure notice remains unchanged.
