This revision (v3) supersedes the proposal issued on October 14, 2026 (v2). Changes below were discussed on our October 22 call and reflect feedback from the client steering committee. Sections not referenced remain as drafted in v2.

1. Scope of Work

The engagement comprises three workstreams: (i) market sizing and competitive benchmarking, (ii) partner landscape and short-list development, and (iii) commercial-operating-model design (ii) partner landscape, short-list, and diligence recommendations, (iii) commercial-operating-model design, and (iv) a dedicated regulatory-compliance track covering CE-marking and REACH obligations. Deliverables will be presented in final form by December 19, 2026 February 6, 2027 to allow time for the expanded regulatory track.

2. Professional Fees

Total professional fees for the engagement shall be a fixed amount of four hundred eighty-five thousand euros (€485,000) six hundred twenty thousand euros (€620,000), reflecting the expanded scope. Fees are invoiced in three instalments: 30% on signature, 40% at mid-point, 30% on delivery 25% on signature, 35% at the mid-point review, 40% on delivery. Day rates for change-order work are fixed at €2,200 €2,400 per Partner-day and €1,400 €1,550 per Manager-day.

3. Team Composition

The engagement will be led by J. Marais (Partner) with M. Chen (Principal) J. Marais (Senior Partner) with M. Chen (Principal) and a dedicated Engagement Manager, S. Okonkwo. The delivery team is supplemented by two Senior Associates, one dedicated regulatory-affairs specialist from our Brussels practice, and an Analyst. All team allocations have been confirmed through the engagement window.

4. Data Access and Confidentiality

Client shall provide the diligence data room by November 5 November 12, 2026. The expanded regulatory track requires access to existing product-approval files and supplier-audit records; these materials will be held in a segregated workspace on our tenant and deleted on engagement close. All team members have signed the Non-Disclosure Agreement executed on October 1, 2026, as Schedule A of this proposal.

5. Exclusivity

Consultant shall not engage with competing EU industrial- automation companies on equivalent mandates for the duration of the engagement plus six (6) months thereafter. Consultant shall not engage with the named competitors listed in Schedule B on equivalent go-to-market mandates for the duration of the engagement. A prior-client screen will be run before any new engagement in the sector and communicated to Client within five (5) business days.

All other terms of the v2 proposal, including governing law, dispute-resolution process, IP-assignment provisions, and insurance requirements, remain in force without modification.

For a six-figure fixed-fee engagement, an uncapped carve-out exposes the firm to multiples of the engagement fee for downstream business losses, which the PI policy may not cover.
